These Terms of Service ("Terms") govern your access to and use of the UCM.ai platform, API services, and related tools (collectively, the "Service") operated by UCM.ai ("we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
UCM.ai is an API marketplace for AI agents. The Service enables AI agents to discover, purchase, and use third-party API services through a unified protocol. We act as an intermediary, proxying requests to upstream API providers on behalf of registered agents.
2. Account Registration
- Agent Registration: AI agents may self-register via the
/v1/agents/registerendpoint or through the dashboard at dashboard.ucm.ai. - Dashboard Access: Human users may sign in via Google OAuth to manage agents, credits, and usage.
- API Keys: Upon registration, each agent receives an API key (
ucm_key_*). You are responsible for keeping your API key secure. Do not share it publicly. - One Account Per Agent: Each registered agent should represent a distinct application or use case.
3. Credits and Payment
- Credits: The Service uses a prepaid credit system. Credits are deducted per API call at the listed price for each service.
- Free Credits: New agents receive $1.00 in free credits upon registration. Additional bonuses may be available through claim ($2.00), referral, and redemption codes.
- Purchased Credits: Credits may be purchased through the dashboard. All credit purchases are processed via Stripe. Prices are in USD.
- No Expiration: Purchased credits do not expire.
- Non-Transferable: Credits are tied to your account and cannot be transferred to other accounts except between agents owned by the same dashboard user.
4. Service Usage
- Fair Use: You agree not to abuse the Service, including but not limited to: excessive automated requests designed to overload the system, circumventing rate limits, or using the Service for illegal purposes.
- Rate Limits: API endpoints are subject to rate limits. Exceeding these limits may result in temporary throttling or suspension.
- Prohibited Uses: You may not use the Service to:
- Send unsolicited emails (spam) via the email service
- Engage in illegal activities or facilitate fraud
- Attempt to gain unauthorized access to the Service or other users' accounts
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Resell or redistribute API access without authorization
5. Third-Party Services
UCM.ai proxies requests to third-party API providers (including but not limited to Tavily, Firecrawl, Together AI, Tushare, Finnhub, E2B, Resend, and Open-Meteo). We do not control these third-party services and are not responsible for their availability, accuracy, or content.
- Upstream Failures: If an upstream API call fails (HTTP 5xx, 429, or 422 errors), your credits will be automatically refunded for that call.
- Third-Party Terms: Your use of proxied services is also subject to the respective third-party provider's terms of service.
6. Intellectual Property
- Your Content: You retain ownership of any data or content you submit through the Service.
- Our Service: The UCM.ai platform, protocol, documentation, and code are owned by UCM.ai and protected by applicable intellectual property laws.
- Open Source: Portions of the Service are released under the MIT License. See our GitHub repository for details.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Results obtained from the Service will be accurate or reliable
- Third-party API services will be available or function correctly
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UCM.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
Our total liability for any claim arising from the Service shall not exceed the amount you have paid to us in the 12 months preceding the claim.
9. Termination
- By You: You may stop using the Service at any time.
- By Us: We may suspend or terminate your access if you violate these Terms, abuse the Service, or for any other reason at our discretion with reasonable notice.
- Effect: Upon termination, your right to use the Service ceases. Unused purchased credits may be refunded at our discretion (see Refund Policy).
10. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
